First, it is important to carry out investment planning to secure the conditions under which the purchase will take place, including negotiation of the purchase price.

To speed up all formalities, it is helpful to issue a general power of attorney allowing the lawyer to access all relevant information during the negotiation and contract process, as well as to obtain a NIE in Spain. This document serves two essential purposes: it identifies our client in Spain, and Spanish law requires all foreigners to have a NIE for any investment-related transactions.

Once the NIE has been obtained, the next step is to open a bank account with a Spanish bank in the name of our client, enabling all real estate investment formalities to move forward.

To avoid unpleasant surprises, any property purchase in Spain should be carried out with proper legal safeguards, including a thorough check of the seller’s ownership and the legal conditions under which they hold the property—for example, whether a mortgage needs to be cancelled or if third-party claims exist on the property.

At the same time, it is essential to assess the condition of the property to be purchased in order to avoid issues related to permitted uses or technical defects, such as the common absence of an occupancy license.

In many cases, these initial steps in the sales process are overlooked, which can later lead to disputes over contract performance or even to contract termination—often resulting in significant financial losses.

Once the investment conditions have been secured, it is important to review the obligations imposed during the purchase process by real estate agents, and to discuss and clarify any questionable or unfavorable clauses in the contracts.

One key aspect to consider involves advance payments requested by the agent or seller as a reservation for the property. These payments are typically non-refundable if the purchase is not completed. This is one of the most sensitive stages of the property purchase and investment process. For this reason, any existing issues with the property must be clearly detailed, so that if the seller fails to resolve them, the buyer will not face difficulties in recovering the amounts paid as reservation deposits, also known as contractual advance payments.

From this point on, the investment can proceed under secure conditions, in accordance with the terms set out in the purchase agreement. We ensure compliance with the deadlines for the notary appointment and the formal acquisition of the property, as well as with all additional tax obligations related to the purchase—such as the withholding and payment of 3% of the purchase price to the Spanish tax authority in the case of non-resident sellers, or the registration of the property in the Land Registry, which finalizes the real estate transaction.
